Terms of Service

Welcome to Fred. These Terms of Service ("Terms") govern your access to and use of the Fred platform and associated services (collectively, the "Service") operated by Fred ("we", "our", or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

Fred is an AI-powered Google Workspace administration copilot that allows authorized IT administrators to manage users, licenses, security policies, and compliance workflows through natural-language commands. The Service connects to your Google Workspace domain via a Service Account that you configure.

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with reasonable notice. We will not be liable to you or any third party for such modifications.

2. Eligibility & Accounts

• You must be at least 18 years old to use the Service.
• You must be an authorized administrator of the Google Workspace domain you connect to Fred.
• You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at hello@assistant.co.ke if you suspect unauthorized access.
• You are responsible for all activity that occurs under your account, including actions taken by sub-administrators you invite.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to perform actions on a Google Workspace domain you are not authorized to administer.
• Attempt to circumvent security controls, rate limits, or access controls of the Service or Google's APIs.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated scripts or bots to interact with the Service in ways that violate these Terms.
• Upload or transmit malicious code, viruses, or any software intended to damage or disrupt systems.
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent.
• Violate any applicable laws, regulations, or third-party rights.

4. Google Workspace Integration

To use Fred, you must provide a Google Service Account JSON key and configure domain-wide delegation in your Google Admin Console. You are solely responsible for:

• The security of your Service Account credentials. Treat them as secrets; do not share them outside of Fred.
• Ensuring that the actions you direct Fred to perform comply with your organization's policies and applicable law.
• Reviewing and approving irreversible actions (e.g., user deletion, license revocation) before they are executed.

Your use of Google Workspace via Fred is also governed by Google's Terms of Service and Workspace APIs Terms of Service. Fred is not affiliated with or endorsed by Google LLC.

5. AI-Generated Actions

Fred uses large language models to interpret your natural-language instructions and translate them into API calls. You acknowledge that:

• AI models can make mistakes. Always review suggested actions before confirming them, especially for bulk or irreversible operations.
• You are solely responsible for the consequences of any actions executed on your Google Workspace domain through the Service.
• We do not guarantee that the Service will produce results that meet any specific compliance, regulatory, or organizational standard without your independent review.

6. Billing & Subscriptions

Fred offers a 14-day free trial. After the trial, continued access requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis.

• Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued unless required by law.
• Price changes: We will give you at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance of the new pricing.
• Taxes: Prices are exclusive of applicable taxes. You are responsible for any VAT, GST, or similar taxes imposed by your jurisdiction.

7. Intellectual Property

The Service, including all software, designs, trademarks, and content, is owned by Fred and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain full ownership of your organization's data. By using the Service, you grant us a limited, non-exclusive license to access and process your data solely to provide the Service to you.

8. Confidentiality

Each party agrees to keep the other's non-public information confidential and not to disclose it to third parties except as permitted by these Terms or required by law. Your Google Workspace data is treated as your confidential information.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, Fred's total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the fees you paid us in the 12 months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities.

11. Indemnification

You agree to indemnify and hold harmless Fred and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your account immediately if you breach these Terms, without liability to you. Upon termination, your right to access the Service ceases. We will provide you 30 days to export your data unless termination is due to a serious breach.

13. Governing Law

These Terms are governed by the laws of the Republic of Kenya, without regard to conflict of law principles. Disputes shall be resolved in the courts of Nairobi, Kenya. If you are a consumer in a jurisdiction with mandatory local law protections, those protections apply in addition to these Terms.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
